Terms of Service
Last updated:
1. Agreement
1.1 These Terms of Service (the "Terms") form an agreement between you and Yalhi Software Solutions Inc., a software company based in British Columbia, Canada (the "Company", "we" or "us"). They govern your use of the TrueSum desktop application (the "Software"), the cloud synchronization service (the "Sync Service") and the website at truesum.app (the "Website").
1.2 By downloading, installing, purchasing or using the Software, you agree to these Terms. If you use the Software on behalf of a business, you agree to these Terms on behalf of that business and confirm that you are authorized to do so.
1.3 The Company's Privacy Policy describes how personal information is collected and used.
1.4 Purchases are sold by Paddle, which acts as reseller and merchant of record: Paddle.com Inc. for buyers in the United States, Paddle.com (Canada) Ltd. for buyers in Canada, and Paddle.com Market Limited for buyers elsewhere. Purchases are also subject to the Paddle Buyer Terms.
2. Free trial
2.1 The Software may be used without charge for thirty (30) days on each computer (the "Trial"). No payment details are required.
2.2 One Trial is available per computer. A Trial cannot be restarted on the same computer.
2.3 When the Trial ends, you may continue to open, view, report on and export your records. Creating, editing or deleting transactions requires a Licence or an active Subscription.
3. Licence
3.1 Upon payment, the Company grants you a perpetual, non-exclusive, non-transferable licence to install and use the Software on one (1) computer (a "Licence"). The Software is licensed, not sold. The Company retains all rights in it.
3.2 A Licence includes all future updates of the Software at no additional charge.
3.3 Each computer on which the Software is used requires its own Licence. A Licence may be moved to another computer up to three (3) times in any period of 365 days. Moving a Licence ends its use on the previous computer.
3.4 A Licence permits an unlimited number of businesses on the licensed computer.
3.5 A purchased Licence includes twelve (12) months of the Sync Service, which may begin at any time.
3.6 A Licence is personal to you and may not be sold, shared, sublicensed or otherwise transferred.
4. Subscription
4.1 A subscription grants one (1) individual the right to use the Software, together with the Sync Service, on up to five (5) computers on which that individual is signed in (a "Subscription").
4.2 Subscriptions are billed monthly in advance by Paddle at the price shown at checkout, and renew automatically until cancelled. The Company will notify you by email at least thirty (30) days before a price change takes effect for your Subscription.
4.3 After twelve (12) paid monthly periods, the subscriber receives a Licence under Section 3, for one (1) computer, which remains valid whether or not the Subscription continues.
4.4 You may cancel a Subscription at any time from your account page. Cancellation takes effect at the end of the current paid period.
4.5 If a Subscription ends and you do not hold a Licence, you may continue to open, view, report on and export your records. Creating, editing and deleting transactions will be unavailable until you subscribe again or purchase a Licence. The same applies if the Software cannot confirm an active Subscription online for thirty (30) days.
4.6 Each individual using the Software under a Subscription requires their own Subscription.
5. Sync Service
5.1 The Sync Service keeps a business's records consistent across the computers on which you are signed in, and stores a copy in the cloud. It requires an active Subscription or the Sync Service period included with a purchased Licence.
5.2 The Company may modify the Sync Service, or set reasonable limits on storage or usage.
5.3 Stopping synchronization for a business retains its cloud copy. Deleting your account deletes all cloud copies. Turso can restore a deleted cloud copy for up to five (5) days, after which it is permanently erased.
5.4 The Company may suspend the Sync Service for an account that misuses it or endangers its operation, and will notify you of the reason.
6. Refunds
6.1 A purchased Licence may be refunded in full on request within thirty (30) days of purchase, by writing to support@truesum.app. A refunded Licence ceases to be valid.
6.2 A Subscription payment may be refunded in full on request within fourteen (14) days of the payment, by writing to support@truesum.app. A cancelled Subscription remains active until the end of the paid period.
6.3 Nothing in this Section limits any refund right you have under the law that applies to you.
7. Your records and responsibilities
7.1 You retain all rights in the data you enter into the Software, and the Company claims no ownership of it. Your records are stored in a file on your computer, which you may open and export at any time.
7.2 The Software is a bookkeeping tool. It does not provide accounting, tax or legal advice. You are responsible for the accuracy of the information you enter, for reviewing your records, and for any filing or submission you make based on them.
7.3 You are responsible for maintaining backups of your records. The Sync Service is not a backup: a deletion made on one computer is synchronized to the others.
8. Restrictions
8.1 You may not: (a) share, sell or publish Licence keys, or use a Licence on more computers than it covers; (b) circumvent the Trial, Licence or Subscription checks; (c) copy, resell, rent or reverse engineer the Software, except as permitted by law; or (d) use the Sync Service to store unlawful content, or in a manner that harms the service or others.
8.2 The Company may revoke a Licence or close an account for breach of this Section.
9. Warranty and liability
9.1 Disclaimer of warranties. TrueSum, the Sync Service and the Website are provided "as is" and "as available". To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. The Company does not warrant that TrueSum will be free of errors, will operate without interruption, or will meet your requirements.
9.2 Limitation of liability. To the fullest extent permitted by law, the Company's total liability arising out of or relating to these Terms shall not exceed the amounts you paid to the Company in the twelve (12) months preceding the event giving rise to the claim.
9.3 Exclusion of indirect damages. The Company shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data, tax penalties or interest, or the cost of reconstructing records, even if advised of the possibility of such damages.
9.4 Statutory rights. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, Sections 9.1 to 9.3 apply only to the extent permitted by law.
10. Termination
10.1 You may stop using the Software and delete your account at any time. The Company may terminate these Terms if you breach them.
10.2 On termination, your records remain on your computer. Sections 7, 9 and 12 survive termination.
11. Changes to these Terms
11.1 The Company may change these Terms at any time without notice. The current version is always published at truesum.app, and the date at the top shows when it last changed. Continued use of the Software after a change constitutes acceptance of the changed Terms.
12. Governing law
12.1 These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. The courts of British Columbia have exclusive jurisdiction over any dispute, except where the law of your place of residence gives you the right to bring proceedings in your local courts.
